Hivemindd Platform Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Hivemindd platform (“Platform”). By creating an account or using the Platform, you agree to these Terms.
Hivemindd does not directly provide services, supervise work, or guarantee outcomes.
- Provide accurate and complete account information;
- Conduct yourself professionally in all Platform communications;
- Comply with all applicable laws and regulations; and
- Use the Platform solely for legitimate business purposes.
You agree that you will NOT:
- Harass, threaten, or abuse other users;
- Share false or misleading information;
- Attempt to circumvent Platform fees or processes (see Section 4);
- Reverse engineer, copy, or misuse Platform technology.
To protect the integrity of the Platform:
- You agree not to initiate, negotiate, or complete transactions outside of the Platform for services with any user (e.g., Service Provider or Client) you meet through the Platform without prior written consent from Hivemindd.
- This restriction applies during your active account period and for a period of two years thereafter .
- If a transaction occurs outside the Platform in violation of this clause, you agree that Hivemindd has the right to seek injunctive relief and recover liquidated damages equal to the total amount paid or owed to any Service Provider by Client under any off-platform engagement, plus Hivemindd’s reasonable attorneys’ fees and costs. These damages are agreed as a reasonable estimate of Hivemindd’s loss and are not a penalty.
- Notwithstanding the above, a Client may hire a Service Provider as a full-time employee through the Platform, subject to Hivemindd’s approval and payment of any applicable placement or conversion fee as set forth in an applicable Master Services and Platform Agreement.
- All payments for services facilitated by the Platform must be processed through the Platform unless otherwise approved in writing by Hivemindd.
- Hivemindd may withhold payments if there is a dispute until the matter is resolved.
- All payments facilitated by the Platform must be performed in accordance with all applicable national and/or international laws regarding payments, data security, and privacy.
- Disputes between Clients and Service Providers will first be escalated to Hivemindd for facilitation.
- If no resolution is reached within 10 business days, the dispute will be handled directly between the Client and the Service Provider.
Hivemindd’s liability is limited to the fees retained by Hivemindd in the six (6) months preceding the claim and for the specific transaction giving rise to the claim.
Hivemindd is not liable for indirect, incidental, accidental, or consequential damages.
You agree to indemnify and hold harmless Hivemindd from any claims arising from your content, including infringement, misappropriation, or violation of third-party rights or privacy laws.
Hivemindd may suspend or terminate your account for violations of these Terms, non-payment of fees, or abusive conduct.
The rights and licenses granted to Hivemindd, and the indemnification obligations, will survive termination or expiration of this Agreement.
By using the Platform, you agree to these Terms.
